We would like to
invite you to join our family as a Natren, Inc. professional affiliate. Being a Natren affiliate gives you the
opportunity to benefit your business while providing your patients with an
alternative health solution.
Probiotics are one of the nation’s fastest growing businesses. As
a Natren professional licensed affiliate, you would have access to one the
world’s largest probiotic libraries. As a
healthcare professional, you already provide your patients with advice that
allows them to make informed decisions regarding options of care. You would be
provided with Natren approved literature and support. In consideration of your
participation in the Natren Affiliate Program, you agree to be bound by and to
comply with the special terms and conditions listed as follows:
Natrenpro.com Membership Programs
– Supplemental Terms and Conditions
In
consideration for your participation in the Natren Program (the
“Program”) maintained by Natren, Inc., you agree to comply with
these Supplemental Terms and Conditions (“Terms and Conditions”).
(1) Natren’s Trademarks. (You are
required to have a Natren approved web site.)
You will not use in your domain name or URL nor purchase or
register in any search, referral, or advertising service (such as
Google’s AdWords program) any of the following
terms:
a.
Any domestic or international Natren company trademarks, and all
translations thereof, including without limitation, NATREN.COM,
BIFIDOFACTOR.COM, DIGESTALAC.COM, EXERCISE-FRIENDS.BIZ,
EXERCISE-FRIENDS.COM, EXERCISE-FRIENDS.INFO,
EXERCISE-FRIENDS.NET, EXERCISEFRIENDS.WS,
GYNATREN.COM, HEALTHYFRIENDS.COM, HEALTHYFRIENDS.NET, HR-RECRUITING.NET, NATREN.CN, NATREN.COM.CN, NATREN.INFO, NATREN.NET.CN,
NATREN.TW, NATRENPHARMACY.COM, NATRENPRO.COM, NATRENPROBIOTICS.COM,
NATRENPROHEALTH.COM, NIPROBIOTICS.COM, PROBIOLIFE.COM,
THEPOWEROFHEALTHRADIO.COM, THEPOWEROFHEALTHTV.COM, TRENEVENTERPRISES.COM,
VITATREN.COM or any URL or keyword string that includes Natren company names
(for example, www.yourcompany-Natren.com); or
b.
Variations of any Natren company trademarks (for example,
“café-Natren”).
* Please note: this
is not an exhaustive list of prohibited words, phrases, or combinations
thereof.
(2) Unacceptable
terms.
You shall not purchase or register search engine keywords, AdWords, search terms or other identifying terms that
Natren considers in its sole discretion to fall into any of the following
categories:

Make any health cure claims
-
Refer to specific medical diseases
-
Promote sexually explicit materials
-
Promote violence
-
Promote illegal activities
-
Promote fake or counterfeit items
-
Promote discrimination based on race, sex, religion, nationality,
disability, sexual orientation, or age
-
Infringe upon others’ intellectual property rights
You
agree to present all search engine keywords, AdWords,
search terms or other identifying terms to Natren for approval prior to use or
purchase. If Natren, in its sole
discretion, determines that any such search engine keywords, AdWords, search terms or other identifying terms are
unacceptable or otherwise violate the Terms of this Agreement, You shall, upon
notice from Natren, immediately cease all use of any offending search engine
keywords, AdWords, search terms or other identifying
terms.
(3) Compensation & Payment.
As
a licensed professional and a member of NATRENPRO.COM, you have two options to
deliver Natren probiotics to your patients:
a.
The first way is by signing up, at no cost, to become a “Natren
Licensed Professional Affiliate”. Signing up as an affiliate will allow you
to earn commission on Qualifying Natren products purchased through the
affiliate program. (Natren will
provide the special web link, icon(s) and commissions earned information at the
time of affiliate account set up.)
b.
The second way is to create and “On-line Store Account”,
purchase and stock Natren probiotics using your Professional Discount off
Natren’s MSRP, then set
your own price, distribute, bill and collect from you patients.
c.
Licensed Professionals who are NATRENPRO.COM members may sign up
for both member programs and become “Professional Affiliates”
earning commissions, AND professionals with an “On-line Store”
account ordering for and serving Natren products to their patients.
d.
“Qualifying Product” as set on the detail page, if the
sale originated from a properly formatted affiliate link. (All affiliate Natren purchased products must be made by a valid credit
card.) “Qualifying Products” shall mean products (subject to
the below restrictions) that are found in Natren’s Marketplace, including
without limitation Portal Pages, Category Pages, Search Results; Product Pages;
and Create & Buy. Natren
reserves the right, in its sole discretion, to amend these terms, its Products,
Qualifying Products or commission amounts from time to time as it deems
appropriate.
Payment. Natren reserves the right to delay your
compensation (i) if there is a suspicion of bad faith
associated with any transaction driven by you, (ii) if you are suspected of causing
users’ non-compliance with Natren’s Term of Service and/or (iii) if
you are suspected of linking to your own qualifying products.
(4) Use of Affiliate Script. Affiliate
agrees to use script provided by Natren to direct its viewers to Natren’s
logon.com. Any verbiage an
affiliate desires to use in addition to the script provided by Natren must be
approved by Natren.
(5) Your Responsibility for Your Agents. You
will not make any commitments or representations on behalf of Natren with
regard to any relationship you enter into with your distribution partners, or
any other third parties (collectively, “Agents”) in connection with
your promotion of a Natren site. This Agreement shall not create an agency,
partnership, joint venture, or employer/employee relationship, and nothing
hereunder shall be deemed to authorize either party to act for, represent or
bind the other except as expressly provided in this Agreement. You will ensure that your
Agents agree to terms and conditions that are at least as restrictive as the
Terms and Conditions, subject to applicable law, and shall include a provision
on such terms and conditions that Natren is a third-party beneficiary. Any
violation by your Agents of these Terms and Conditions shall constitute a
violation by you, and Natren shall have full recourse against you with respect
to such a violation, including without limitation, suspension or termination
from the Program. Natren reserves the right to terminate any affiliate engaging
in “Sub-Publisher” or “distribution partner” agent
relationships at any time, at Natren’s discretion, based on a breach of
these Terms and Conditions by your Agent.
(6) Disclaimer of Warranties. NATREN DISCLAIMS ALL WARRANTIES AND
CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE
IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE. NATREN EXPRESSLY DISCLAIMS ALL LIABILITY RELATING TO THESE
TERMS AND CONDITIONS OR THE PROGRAM.
(7) Publisher’s Indemnification Obligations. You will defend,
indemnify, and hold Natren harmless against all claims, liabilities, and
expenses claimed or incurred by third parties directly or indirectly as a
result of any breach of these Terms and Conditions, and/or distribution or use
of applications or content by you, your Agents, or anyone else that you are
affiliated with.
(8) Remedy for Breach. If you breach any of these Terms and Conditions,
in addition to any other available remedies, Natren may remove you from the
Program immediately, withhold or recover any compensation for transactions not
in compliance with these Terms and Conditions, and seek removal of any search
terms registered or purchased in violation of these Terms and Conditions.
(9) Amendment. Natren reserves the right to add, delete and/or modify
any of the Terms and Conditions contained herein, at any time and in its sole
discretion, by posting a change notice or new terms and conditions. In the
event of a change to these Terms and Conditions, Natren.com shall provide
Publisher with seven (7) days prior notice of any changes by posting a change
notice. In the event of substantive changes to these Terms and Conditions, you
may be notified by email. If any modification is unacceptable to you, your only
recourse is to terminate your participation in the Program. Your continued
participation in the Program following posting of a change notice or new terms
and conditions will constitute binding acceptance of the changes.
(10) Waiver. No indulgence or extension of time which
either you or Natren may grant to the other will constitute a waiver of or,
whether by estoppel or otherwise, limit any of the
existing or future rights of the grantor in terms hereof, save in the event or
to the extent that the grantor has signed a written document expressly waiving
or limiting such rights.
(11)
Severability. All provisions of any relevant terms and
conditions, policies and notices are, notwithstanding the manner in which they
have been grouped together or linked grammatically, severable from each other.
Any provision of any relevant terms and conditions, policies and notices, which
is or becomes unenforceable in any jurisdiction, whether due to voidness, invalidity, illegality, unlawfulness or for any
reason whatever, shall, in such jurisdiction only and only to the extent that
it is so unenforceable, be treated as pro non scripto
and the remaining provisions of any relevant terms and conditions, policies and
notices shall remain in full force and effect.
(12)
Applicable Laws. Any relevant terms and conditions, policies and
notices shall be governed by and construed in accordance with the laws of the
state of California,
without giving effect to any principles of conflict of law. You hereby consent
to the exclusive jurisdiction of the federal courts located in the state of California in respect of
any disputes arising in connection with the website, or any relevant terms and
conditions, policies and notices or any matter related to or in connection
therewith.
